1. Agreement to Terms

By accessing or using the Insperai SPB platform (“Service”) operated by Insperai Inc (“Company,” “we,” “us”), located at 38 144th Ave NW, Andover, MN 55304, United States, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Insperai SPB is a decision risk intelligence platform that provides personality intelligence assessments, team dynamics analysis, and related digital services. The Service is NOT a clinical or diagnostic psychological tool, validated hiring assessment, or substitute for professional mental health services.

3. Accounts & Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your login credentials. You must be at least 18 years old to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Practitioner Certification

Professional deployment of SPB assessments requires active Insperai certification. Practitioners are responsible for ensuring they hold valid certification and comply with all applicable professional and ethical standards in their jurisdiction.

5. Acceptable Use

You agree NOT to:

• Use the Service for clinical diagnosis or as a substitute for professional psychological treatment;
• Share, resell, or redistribute assessment content, reports, or proprietary materials without authorization;
• Attempt to reverse-engineer scoring algorithms, assessment frameworks, or other proprietary systems;
• Use the Service in any manner that violates applicable laws or regulations;
• Access data belonging to other users without proper authorization.

6. Intellectual Property

All content, frameworks, scoring methodologies, assessment materials, and software comprising the Service are the exclusive property of Insperai Inc and are protected by applicable intellectual property laws. No license or right is granted except for the limited use of the Service as described herein.

7. Purchases & Billing

Assessment licenses and subscriptions are purchased through our third-party payment processor, Stripe. Prices are listed on the platform and may be updated at any time. Price changes do not affect previously completed purchases. You agree to provide accurate payment information and authorize applicable charges.

8. Data & Confidentiality

Assessment data, scores, and reports are treated as confidential information. Aggregated or anonymized data may be used for platform improvement and research purposes. Individual-level data will not be shared without the applicable user’s consent except as described in our Privacy Policy.

9. Artificial Intelligence & Generated Content

The Service uses artificial intelligence to generate Meta-Analysis reports, Ayris AI Advisor responses, and related analytical outputs.

• AI-generated content is advisory in nature and should not be treated as clinical diagnosis, validated psychological assessment, or professional medical/mental health advice.
• While we implement guardrails and quality controls, AI outputs may contain inaccuracies or limitations. Practitioner-released reports undergo human review; real-time AI features (such as Ayris) do not.
• Personal data is processed in accordance with our Privacy Policy. Identifiable information is scrubbed before AI processing. User data is not used to train third-party AI models.
• We reserve the right to update AI models, providers, or processing methods at any time to improve service quality. Such changes will not alter the fundamental nature of the Service.
• By using AI-powered features, you acknowledge and accept these terms.

10. Limitation of Liability

To the maximum extent permitted by law, Insperai Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Modifications

We may modify these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles.

14. SMS Communications

Insperai may send transactional SMS messages for account authentication and multi-factor authentication (MFA) purposes when users explicitly opt in by enabling SMS verification within their account settings. These messages are used solely for security and account access purposes and are not used for marketing or promotional communications. Users may disable SMS MFA at any time within their account settings. Message and data rates may apply.
